PLEASE READ THESE PROGRAM TERMS CAREFULLY. BY PARTICIPATING IN THE PROGRAM, YOU AGREE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE PROGRAM TERMS DESCRIBED HEREIN AND ALL TERMS INCORPORATED HEREIN BY REFERENCE, INCLUDING STAKE’S TERMS OF USE AND PRIVACY POLICY.
IMPORTANT PROGRAM TERMS SUMMARY
This summary is provided to make material Program terms easier to find. It does not change, limit, or expand the Program Terms below. Please read the complete Program Terms before participating in the Program.
- The Stake Return on Rent™ Loyalty Program and associated loyalty rebates are offered by Stake at its sole discretion to eligible lessees of participating properties or to lessees eligible through Stake partners.
- Membership is limited to eligible individuals who are legal residents of the United States, are at least 18 years old or the age of majority in their jurisdiction of residence, use the Program for personal purposes, and maintain only one membership per individual.
- Rewards may be earned only through actions approved by Stake and made available in the Program, including paying rent on time, signing or renewing a lease, or making qualifying transactions, as applicable.
- Rewards are subject to verification. Pending or unverified transactions or actions may not result in Rewards, and not all transactions or actions qualify.
- Rewards are not cash and have no cash value until redeemed, and do not become your property unless and until successfully redeemed in accordance with these Program Terms.
- When a Stake Checking Account is active, Rewards may only be redeemed and disbursed to that Stake Checking Account, subject to eligibility requirements, the Consumer Checking Account Agreement, account approval, and account good standing.
- You must maintain an active Program membership and satisfy the redemption requirements described in these Program Terms to redeem Rewards. Rewards may expire or be forfeited, including at the end of an eligible lease term, upon membership cancellation or termination, or if the Program is discontinued and Rewards are not redeemed within the applicable notice period.
- Stake may modify the Program and how qualifying payments or actions are evaluated, and Stake may limit the number of actions eligible for Rewards.
- If you have concerns that a rent payment or other action was not properly applied to your membership, you must contact Stake at hello@stake.rent within forty-five (45) days after the action took place and provide the information described below.
- The Rent Reporting Services are separate services subject to the qualifications and limitations below. Stake does not guarantee that rent payment data will be accepted by any Bureau or improve your credit score or credit profile.
- Stake may present third-party products or services and may be compensated if you apply for or acquire certain third-party products or services.
- Disputes are subject to the Choice of Law and Dispute Resolution section below.
1. ELIGIBILITY AND OVERVIEW
The Stake Return on Rent™ Loyalty Program (the “Program”) and associated loyalty rebates (“Rewards”) are offered at the sole discretion of Stake Network Inc. (“Stake” or “we”) to lessees of apartments operated by third parties that have compensated Stake to enroll named lessee or lessees in the Program for a contractual period of time or to lessees of apartments eligible for the Program through one of our partners. Your participation in the Program is subject to all present and future Stake terms and conditions, including the Stake Return on Rent™ Loyalty Program Terms and Conditions (collectively the “Program Terms”). These Program Terms do not alter in any way the terms or conditions of any other agreement you may have with us, including any agreement for products or services. Program Terms are void to the extent prohibited by law.
Membership in the Program is open to individuals who are legal residents of the United States who are at least 18 years old or the age of majority in the jurisdiction of residence, whichever is older, for their personal use only, and is limited to one (1) membership per individual. Corporations, associations, or other groups may not participate in the Program. Employees of Stake are not eligible to participate in the Program. Stake reserves the right at any time to limit the number of participants in the Program. Accrual of Rewards is contingent upon third party sponsorship of participants in the Program or joining the program via an eligible partner.
By joining the Program and becoming a Program member (“Member” or “you”), you agree that you have read, understand, and agree to be bound by these Program Terms and by any changes or modifications we may make. You should review these Program Terms and the related Program FAQs frequently in order to understand the terms and conditions that apply to the Program, as these may change from time to time. Further by becoming a Member, you also agree to be bound by our website Terms of Use and Privacy Policy, all of which are incorporated herein by reference.
2. ENROLLMENT AND ACCOUNT INFORMATION
Individuals may enroll in the Program by (i) leasing an apartment whereby the owner or operator has compensated Stake to include the lessee or lessees in the Stake Program (a “Stake Home”) for a determined period of time, (ii) joining through our partnership with UMoveFree.com, or (iii) via other acceptable methods of membership and then by accepting the Program Terms and accessing the Stake Application (“Stake App”). Only one (1) membership may be associated with a single email address or telephone number. In the event of a dispute over membership and for the purposes of these Program Terms, the Member is the natural person who is listed as a lessee of the Stake Home enrolled in the program and assigned to the submitted phone number by a telecommunications provider. Your enrollment in the Program does not change or alter, in any way, your lease agreement with your apartment owner or manager.
You are required to provide your full name, mailing address, email address, and telephone number to claim and redeem your rewards. You may also be required to provide your social security number, date of birth, and banking information to access and use additional Stake services. You are solely responsible for maintaining the accuracy and privacy of the information provided and for updating it as required. To redeem Rewards (as defined below), you must have a valid physical address and banking instructions linked to your membership.
3. PARTICIPATION, REWARDS, REDEMPTION, AND INQUIRIES
3.1 Earning Rewards
You may earn Rewards by paying rent on time, signing a lease, renewing a lease, or making qualifying transactions. Stake may also, at its sole discretion, provide additional Rewards in connection with certain transactions and promotions. Rewards are subject to change from time to time and may be offered on a limited basis. Information regarding qualifying purchases and other actions are communicated through other media (e.g., direct mail, email, text message, marketing communications, etc.).
3.2 Rewards Status and Value
Rewards earned through the Program are non-negotiable and can only be redeemed, either in whole or in part, for cash according to the redemption value stated in the mobile application. Rewards are credited to your account when you complete eligible actions; however, Rewards are not cash and have no cash value until redeemed, and do not become your property unless and until they are successfully redeemed in accordance with these Program Terms. Rewards are considered earned only after Stake verifies that all applicable conditions for the qualifying action have been satisfied. Pending or unverified transactions or actions may not result in Rewards.
3.3 Stake Checking Account as Exclusive Redemption Channel
Upon opening of a Stake Checking Account, rewards will be automatically redeemed and disbursed to the Stake Checking Account. No other method of redemption – such as platform, digital wallet, peer-to-peer transfer application (including but not limited to Venmo, PayPal, Cash App, or Zelle), or external bank account - will be an eligible redemption option. Opening a Stake Checking Account is subject to the terms of the Consumer Checking Account Agreement, and granting access to Stake Checking Account is at the discretion of Stake, and its banking partners. Members are responsible for maintaining the Stake Checking Account in good standing as a condition of Rewards redemption. If a Member’s Stake Checking Account is no longer active, other methods of redemption will become available.
A Member may only accumulate the Reward by taking actions approved by Stake and made available to users in the program. If you do not make rent payments in accordance with the terms of your lease or obtain Rewards through fraudulent or other activity that violates these Program Terms, the activity will be automatically deducted from your Rewards balance. Rewards do not constitute property of any Member or any other person and may not be brokered, bartered, pledged, gifted, sold, or otherwise transferred, other than by Stake or as otherwise expressly provided for in these Program Terms, and any receipt or use of Rewards in violation of these Program Terms will render such Rewards void. Rewards and electronic access to Rewards may not be shared or combined.
3.4 Transactions and Actions That May Not Qualify
Not all transactions or actions will qualify for Rewards. For example, a transaction may not qualify if:
- The merchant is not a participating merchant
- The payment is not successfully processed or verified
- Required conditions associated with the Reward are not met
Stake’s determination of qualifying actions shall be final, subject to your right to submit an inquiry as described below.
3.5 Redemption Requirements and Method
To redeem Rewards, you must:
- Maintain an active Program membership at the time of redemption
- Have a valid account with current contact and payment information on file
- Satisfy any additional technical or operational requirements communicated by Stake
Rewards cannot be redeemed after membership termination or program ineligibility, except where required by law.
You may redeem Rewards by logging into the Stake app. Rewards redeemed for cash must be sent to the applicable redemption account permitted under Section 3.3 and specified through the enrollment or redemption process. Rewards redemptions will be deducted from the total available Rewards. Credits from multiple memberships may not be aggregated unless authorized by Stake. You are solely responsible for any tax liability, including disclosure, related to your participation in the Program.
For additional redemption information, please refer to Section 3.3.
Rewards are tracked in your account, but are not cash and are not your property until redeemed. You may redeem Rewards for cash only while you are an active Program member and meet redemption requirements. Rewards may expire or be forfeited if not redeemed within required timeframes, including at the end of your lease term or if your membership is terminated. Additional conditions and limitations apply and are described below.
3.6 Expiration, Forfeiture, Program Changes, and Reward Inquiries
Rewards may be lost or forfeited in the following circumstances:
- If not redeemed before the end of your eligible lease term
- If your membership is canceled or terminated for any reason
- If the Program is discontinued and you do not redeem Rewards within the notice period provided
- If you fail to meet Program requirements or violate these Program Terms
Stake will make reasonable efforts to notify you of material deadlines to redeem Rewards; however, it is your responsibility to monitor and redeem your Rewards in a timely manner.
Stake reserves the right to change Program Terms and how we evaluate each qualifying rent payment and/or action. We further reserve the right to place limits on the number of actions that are eligible for the Program.
If you have concerns that a rent payment or other action was not properly applied to your membership, you should contact Stake at hello@stake.rent. Your email must specify your name, address, phone number, and email address associated with your membership, the date of the action, and the issue(s) you encountered. This email must be sent within forty-five (45) days after the action took place.
4. COMMUNICATIONS
By enrolling in the Program, you consent to receive electronic communications from Stake, including but not limited to transactional notices and marketing materials, and agree that electronic delivery satisfies any legal requirement that such communications be in writing.
4.1 Program Emails
Upon enrollment, you will be automatically subscribed to receive Program-related emails from Stake and, where applicable, our partners. These emails may include:
- Welcome and onboarding communications
- Reward and redemption confirmations
- Membership updates and account notices
- Program-related marketing and promotional offers
4.2 Opting Out of Marketing Emails
You may opt out of marketing emails at any time by:
- Clicking the "unsubscribe" link in any marketing email; or
- Contacting us at hello@stake.rent; or
- Messaging us through the Stake App
Please note that even after opting out of marketing emails, you will continue to receive transactional and account-related emails necessary to administer your membership (such as redemption confirmations and membership updates).
5. TERMINATION AND MODIFICATION
Membership may be revoked by Stake, in its sole discretion, at any time. Any abuse of the Program; failure to follow Program Terms; misrepresentation; or conduct that may be detrimental to Stake or our interests may result in the revocation of your membership and make you ineligible for further participation in the Program. If, in our sole discretion, we suspect fraud, misrepresentation, abuse, or violation of these Program Terms, we also have the right to take appropriate legal action.
If Stake terminates the Program or your membership is revoked, Stake may terminate your access to the Program and its features at Stake’s sole discretion.
In the event Stake terminates the Program, you will be provided with at least 30 days’ notice and an opportunity to redeem any eligible Rewards during that period, unless a shorter period is required for legal or operational reasons.
Qualifying payments and actions, as reflected in Stake’s records, shall be deemed correct, and Stake reserves the right to determine the qualification for any transaction.
If you decide you no longer want to be part of the Program, you may cancel your membership at any time by contacting Stake Customer Service at hello@stake.rent. Your email must specify your name, address, phone number, and email address associated with your membership, and confirm that you wish to be removed from the Program. It may take up to ten (10) business days for your cancellation to be completed.
Stake believes the Program and associated loyalty rebates generally constitute rebates subject to expiration and, therefore, are not taxable income to the Member or escheatable to the state as unclaimed property. However, tax treatment may vary depending on your individual circumstances, and Stake does not provide tax advice. Members are encouraged to consult a qualified tax professional if they have questions regarding their specific situation. Loyalty rebates are subject to extinguishment when your lease that is eligible for loyalty rebates under the Program expires.
In the event that your Stake Home terminates its participation in the Program or defaults on any obligation to pay Stake, which includes but is not limited to the Stake Home defaulting on a property loan or the Stake Home not paying a Stake invoice for 31 days or more you may lose the ability to earn future loyalty rebates within the Program.
In the event Stake terminates the Program, you may claim any unused loyalty rebates where eligible only for a period of 30 days after Stake sends notice of such event to you. Once the notice period expires, you will no longer have any title or access to such funds.
6. RENT REPORTING SERVICES
6.1 Rent Reporting Overview and Consent
You understand that by accepting these Program Terms, if you rent a residential property and you and the property meet all applicable qualifications, we may provide you with the ability to have your on-time rent payments (“Payment Information”) reported to the national consumer reporting agencies (currently Equifax, Experian, and TransUnion, collectively the “Bureaus”) who accept such data from Stake (“Rent Reporting Services”). If you elect to use the Rent Reporting Services and have your Payment Information reported to the Bureaus, you understand that you are providing written instructions in accordance with the Fair Credit Reporting Act, as amended (“FCRA”) and other applicable law for Stake to furnish data regarding you and your Payment Information to the Bureaus. Such reporting will be subject to the guidelines promulgated by or for the Bureaus for such reporting, and applicable law, including the FCRA. Stake takes all commercially reasonable steps to report data correctly to the Bureaus according to their methods and recommendations, our ability to provide the Rent Reporting Services may be limited by our ability to obtain and verify all such data in accordance with the requirements of each Bureau.
To subscribe to the Rent Reporting Services, you will be required to provide additional identifying information, such as your social security number, date of birth and zip code, as well as the address of your current lease. You may also be required to grant us access to certain accounts that you maintain online with third-party financial institutions (your “Bank Accounts”) in order to enable us to identify your rent payments and display them to you for verification on the Stake App. Where this is the case, our third-party processor will be directly connected to the website for the third party you have identified as the holder of the relevant Bank Account. Our third-party processor will submit information including usernames and passwords that you provide to log you into such third-party website(s). You will need to authorize and permit our third-party processor to use and store information submitted by you (such as account passwords and usernames) to accomplish the foregoing and to configure the Stake App so that it is compatible with the third-party sites for which you submit your information. You expressly authorize us to access information from the relevant Bank Account as necessary to perform the Rent Reporting Services or as otherwise permitted hereunder and under our Privacy Policy.
By agreeing to these Program Terms, you expressly consent to our sharing personal data you provide us with our partners in order to provide the Rent Reporting Services.
In other cases, you may be asked to manually input your rent payment information into the Stake App or upload a copy of your lease to the Stake App so that the rent payment information can be extracted from it. Whether you manually input or upload this information, or if it is retrieved by our third-party processor from your Bank Accounts as described above, you agree that the information regarding your rent payments that appears in the Stake App is your rent payment information, that it and all other information you provide in connection with the Rent Reporting Services is true, accurate, current, and complete in all respects and to truthfully affirm or certify to that effect when asked to do so. We may verify this information for any purpose, including but not limited to accuracy, legality, or non-infringement.
You understand and acknowledge that, while the Rent Reporting Services are designed to ensure that Payment Information is reported to the Bureaus that accept such data, Stake cannot ensure that such data will be accepted, and Stake has no control over how such reporting, when accepted, is used and reported by the Bureaus, nor how such data is used by users of the Bureau reporting services. For example, there is no guarantee that data regarding rent payments that is reported to the Bureaus will be used or accepted by mortgage lenders or other lenders in their lending decisions and underwriting.
Stake is not a credit bureau and does not have direct influence over any aspect of credit, credit profiles, or how credit scores are calculated. Each Bureau has unique approaches to and requirements for rental payment data furnishing and reporting, and those approaches and requirements change from time to time. You understand that it may take as long as 30-60 days for Bureaus to include furnished rental payment data on reported records.
The Bureaus control how any data furnished to them is used. See each Bureau’s website for the terms and conditions of how they collect, store, manage, use, modify, disseminate and distribute such information. Once the information is transmitted by us to a Bureau, that Bureau will obtain an ownership interest in that data. Please see the terms below under “Disputing Rent Reporting Information” below for information about how to dispute any information provided through the Rent Reporting Services that you believe is inaccurate.
No furnisher of rental payment data, including us, can guarantee an improvement in credit scores. The impact of your use of the Stake Rent Reporting Services on your consumer reports or credit scores will depend on a variety of factors beyond the Payment Information we furnish to the Bureaus through your use of the Rent Reporting Services, including other aspects of your personal finances. For example, the delinquency of a car or credit card payment owed by you may negatively impact your credit score. Also, it is common to see a short-term decline in a credit score when a new tradeline is opened. Therefore, we must disclaim all warranties regarding the impact, if any, that providing such Payment Information will have on your credit score. Although we only report your on-time rental payments to the Bureaus, we shall not be liable for any claims, charges, demands, damages or adverse impacts on your credit score or credit history if you cease using the Rent Reporting Services or if we stop reporting your Payment Information due to your failure to pay your rent on time.
When you create an account with Stake, you understand that you are providing written instructions to the Bureaus in accordance with the FCRA and other applicable laws for us to request and receive copies of consumer reports, credit scores and other information about you from the Bureaus and other third-party consumer reporting agencies. You understand that your instructions let us obtain such information at any time, for as long as you have an account with Stake, and use it for the purposes of (i) displaying such information to you through the Stake App, (ii) providing authorized parties with de-identified and aggregated metrics, and (iii) for other internal business purposes subject to the Terms and our Privacy Policy.
Information that we may display to you on the Stake App regarding your credit score, credit report, factors that may affect your credit score, and other credit related information is provided by the Bureaus, not Stake. Stake is not a credit repair organization and Stake does not, nor are any part of the Rent Reporting Services intended to provide any credit repair or credit counseling, legal, tax, or financial advice.
6.2 FCRA Rights Summary
SUMMARY OF YOUR RIGHTS UNDER THE FCRA:
The federal Fair Credit Reporting Act (FCRA) promotes the accuracy, fairness, and privacy of information in the files of consumer reporting agencies. There are many types of consumer reporting agencies, including credit bureaus and specialty agencies (such as agencies that sell information about check writing histories, medical records, and rental history records). Here is a summary of your major rights under FCRA. For more information, including information about additional rights, go to http://www.consumerfinance.gov/learnmore or write to: Consumer Financial Protection Bureau, 1700 G Street NW, Washington, DC 20552.
- You must be told if information in your file has been used against you. Anyone who uses a credit report or another type of consumer report to deny your application for credit, insurance, or employment – or to take another adverse action against you – must tell you, and must give you the name, address, and phone number of the agency that provided the information.
- You have the right to know what is in your file. You may request and obtain all the information about you in the files of a consumer reporting agency (your “file disclosure”). You will be required to provide proper identification, which may include your Social Security number. In many cases, the disclosure will be free. You are entitled to a free file disclosure if: (i) a person has taken adverse action against you because of information in your credit report; (ii) you are the victim of identity theft and place a fraud alert in your file; (iii) your file contains inaccurate information as a result of fraud; (iv) you are on public assistance; (v) you are unemployed but expect to apply for employment within 60 days. In addition, all consumers are entitled to one free disclosure every 12 months upon request from each nationwide credit bureau and from nationwide specialty consumer reporting agencies. - You have the right to ask for a credit score. Credit scores are numerical summaries of your creditworthiness based on information from credit bureaus. You may request a credit score from consumer reporting agencies that create scores or distribute scores used in residential real property loans, but you will have to pay for it. In some mortgage transactions, you will receive credit score information for free from the mortgage lender.
- You have the right to dispute incomplete or inaccurate information. If you identify information in your file that is incomplete or inaccurate, and report it to the consumer reporting agency, the agency must investigate unless your dispute is frivolous. See www.consumerfinance.gov/learnmore for an explanation of dispute procedures.
- Consumer reporting agencies must correct or delete inaccurate, incomplete, or unverifiable information. Inaccurate, incomplete or unverifiable information must be removed or corrected, usually within 30 days. However, a consumer reporting agency may continue to report information it has verified as accurate.
- Consumer reporting agencies may not report outdated negative information. In most cases, a consumer reporting agency may not report negative information that is more than seven years old or bankruptcies that are more than 10 years old.
- Access to your file is limited. A consumer reporting agency may provide information about you only to people with a valid need — usually to consider an application with a creditor, insurer, employer, landlord, or other business. The FCRA specifies those with a valid need for access.
- You must give your consent for reports to be provided to employers. A consumer reporting agency may not give out information about you to your employer, or a potential employer, without your written consent given to the employer. Written consent generally is not required in the trucking industry. For more information, go to www.consumerfinance.gov/learnmore.
- You may limit “prescreened” offers of credit and insurance you get based on information in your credit report. Unsolicited “prescreened” offers for credit and insurance must include a toll-free phone number you can call if you choose to remove your name and address from the lists these offers are based on. You may opt out with the nationwide credit bureaus at 1-888-567-8688.
- The following FCRA right applies with respect to nationwide consumer reporting agencies:
CONSUMERS HAVE THE RIGHT TO OBTAIN A SECURITY FREEZE
You have a right to place a “security freeze” on your credit report, which will prohibit a consumer reporting agency from releasing information in your credit report without your express authorization. The security freeze is designed to prevent credit, loans, and services from being approved in your name without your consent. However, you should be aware that using a security freeze to take control over who gets access to the personal and financial information in your credit report may delay, interfere with, or prohibit the timely approval of any subsequent request or application you make regarding a new loan, credit, mortgage, or any other account involving the extension of credit.
As an alternative to a security freeze, you have the right to place an initial or extended fraud alert on your credit file at no cost. An initial fraud alert is a 1-year alert that is placed on a consumer’s credit file. Upon seeing a fraud alert display on a consumer’s credit file, a business is required to take steps to verify the consumer’s identity before extending new credit. If you are a victim of identity theft, you are entitled to an extended fraud alert, which is a fraud alert lasting 7 years.
A security freeze does not apply to a person or entity, or its affiliates, or collection agencies acting on behalf of the person or entity, with which you have an existing account that requests information in your credit report for the purposes of reviewing or collecting the account. Reviewing the account includes activities related to account maintenance, monitoring, credit line increases, and account upgrades and enhancements.
- You may seek damages from violators. If a consumer reporting agency, or, in some cases, a user of consumer reports or a furnisher of information to a consumer reporting agency violates the FCRA, you may be able to sue in state or federal court.
- Identity theft victims and active-duty military personnel have additional rights. For more information, visit www.consumerfinance.gov/learnmore.
States may enforce FCRA, and many states have their own consumer reporting law. In some cases, you may have more rights under state law. For more information, contact your state or local consumer protection agency or your state Attorney General. 6.3 Disputing Rent Reporting Information

7. THIRD-PARTY MARKETED PRODUCTS
As a participant in the Program, we may provide you with access to offers for third-party financial services and products (“Marketplace Services”). While some of the third-party offerings and services promoted through Stake may be free, some may require additional fees or a paid subscription. Stake has contractual relationships with the providers of Marketplace Services and other third-party financial products and services advertised, offered, or mentioned by us, or in connection with the Program, and Stake may be compensated for promoting these third-party products and services or if you choose to apply for and/or ultimately acquire these third-party products and services. You may opt out of the sharing of your information for marketing by reaching out to hello@stake.rent or by messaging us directly through the Stake App.
8. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY
Neither Stake nor its subsidiaries, affiliates, directors, employees, agents, officers, partners, or licensors makes any representations or warranties of any kind whatsoever, express or implied, in connection with these Program Terms or any of the Rewards associated therewith, including but not limited to warranties of merchantability, non-infringement, or fitness for a particular purpose. We make no warranties that defects or errors will be corrected.
You agree that neither Stake nor its subsidiaries, affiliates, directors, employees, officers, agents, partners, or licensors will be responsible for or liable (in contract, warranty, or in tort - including negligence) for any (a) interruption of business; (b) access delays or access interruptions to the Program; (c) data non-delivery, loss, theft, misdelivery, corruption, destruction, or other modification; (d) loss or damages of any sort incurred as a result of dealing with or the presence of any third-party links on the Program site or on https://getyourstake.com/ or use of any Reward of the Program; (e) computer viruses, system failures or malfunctions which may occur in connection with your use of the Program site or https://getyourstake.com/, including during hyperlink to or from third-party websites; (f) any inaccuracies or omissions in Program content; or (g) events beyond our reasonable control, including without limitation any act of God, act of war, natural disaster, cyberattacks, terrorism, or any act or omission of a third party.
You agree that neither Stake nor its subsidiaries, affiliates, directors, employees, officers, agents, contractors, contractual partners, providers, or licensors shall be responsible to you for any direct, indirect, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other tangible losses (even if Stake had been advised of the possibility of such damages), related to the Program or your participation therein, whether in contract, warranty, or in tort (including negligence) even if Stake has been advised of the possibility of such damages, and in no event shall Stake’s maximum aggregate liability for such claims exceed one hundred dollars (US$100.00).
You further agree that no claims or action in contract, warranty, or in tort (including negligence) arising out of, or related to, your participation in the Program, use of any Rewards or these Program Terms may be brought by you more than one (1) year after the cause of action relating to such claim or action arose. If you are dissatisfied with the Program, termination of your membership is your sole remedy. We have no other obligation, liability or responsibility to you.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you. This Section will survive termination of a Member’s participation in the Program.
The Stake Program does not override any lease between you and your Stake Home. To the extent the terms of such lease conflict with the terms governing any loyalty rebates under the Program, the terms of the lease shall control.
Further, you do not obtain any rights to your loyalty rebates until you log on to the Stake App and agree to these Program Terms.
9. PROHIBITED USES
You may use the Services only for lawful purposes and in accordance with these Program Terms. You agree not to use the Services:
- In any way that competes with our business of providing an online platform for our Stake Home clients to reward their customers.
- In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
- For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
- To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in these Program Terms.
- To transmit, or procure the sending of, any mass advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
- To impersonate or attempt to impersonate Stake, a Stake employee, another user, or any other person or entity (including, without limitation, by using email addresses or user names associated with any of the foregoing).
- To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Services, or which, as determined by us, may harm Stake or users of the Services, or expose them to liability.
Additionally, you agree not to:
- Use the Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use of the Services, including their ability to engage in real time activities through the Services.
- Use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services.
- Use any manual process to monitor or copy any of the material on the Services, or for any other purpose not expressly authorized in these Program Terms, without our prior written consent.
- Use any device, software, or routine that interferes with the proper working of the Program.
- Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
- Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services is stored, or any server, computer, or database connected to the Services.
- Attack the Services via a denial-of-service attack or a distributed denial-of-service attack.
- Otherwise attempt to interfere with the proper working of the Services.
10. INDEMNIFICATION
You agree to defend, indemnify and hold harmless Stake, its affiliates, subsidiaries, directors, employees, agents, partners, contractors, contractual partners, telecommunication providers, content providers, and assignees and their respective officers, directors, employees and agents from and against any and all liabilities, claims, actions, demands, damages, costs, losses and expenses (including reasonable attorneys’ fees) made by any third party due to or arising out of your participation in the Program in violation of any law, rule, regulation, guideline, or these Program Terms, and/or your violation of any rights of another.
11. CHOICE OF LAW AND DISPUTE RESOLUTION
The Program and these Program Terms are governed by laws of the State of New York, without regard to its conflict of laws principles. You hereby consent to the exclusive jurisdiction and venue of the state and federal courts within New York for any claims arising out of or relating to the Program or your participation therein or the Program site.
Any dispute, controversy, or claim related in any way to the Program, these Program Terms, your Program membership, or the relationship between Stake and you shall be submitted to confidential arbitration in New York, except that, to the extent you have in any manner violated or threatened to violate Stake’s intellectual property rights, Stake may seek injunctive relief in any state or federal court in the State of New York, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under these Program Terms shall be conducted by a single arbitrator under the rules then prevailing of the American Arbitration Association. The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction.
12. PRIVACY
The personal information collected from you in connection with the Program, including but not limited to your Program membership registration data and purchases made in connection with your Program membership, is subject to Stake’s PRIVACY POLICY and CCPA Notice.
13. STAKE NEIGHBORHOOD NETWORK
13.1 Terms
The Stake Neighborhood Network is an offering within the overall Program that allows you to access card-linked offers at specific merchants.
To enable card-linked offers and services we may use third parties such as Fidel Ltd and the payment networks (including, but not limited to Visa, Mastercard and Amex) to monitor your enrolled card transactions related to merchants who are participating in the loyalty program. This “Transaction Data” may include transaction attributes like Merchant Name, Merchant ID, Transaction Amount, Transaction Time, etc. This “Transaction Data” is used solely for the purposes of the reward program to present offers, calculate and facilitate rewards earned, and customer support.
By registering your preferred payment card(s) into the program, you authorize our service (including, but not limited to Fidel Ltd) to share your card information with the appropriate payment card network. You further authorize the payment card network to share transaction data with participating merchants and other third parties, such as Fidel Ltd. You can always opt-out of the program and remove your enrolled card at any time. This can be done from your account screen, refer to FAQs if further assistance is required.
13.2 Card-Linking Consents
I authorize my card network (Visa, Amex, Mastercard) to monitor my payment card to identify transactions that qualify for a reward and for my card network to share such information with Fidel API, to enable my card linked offers and present offers that may be of interest to me. I understand I may opt-out of monitoring purchases on my enrolled card(s) at any time, by deleting my card in the linked card page in the registered account.
13.3 Rewards
Rewards available to you through the program are based on the Eligible Transactions you make. Eligible Transactions constitute transactions that meet all of the following criteria:
- Occur after you have enrolled in the Neighborhood Network program
- Are made with your linked-card
- Take place at a merchant that is participating in the Neighborhood Network
- Take place at a merchant with an active offer within the Neighborhood Network
- Meets all of the merchant specific criteria that participating merchants require. Merchant specific criteria can be seen by going to the Neighborhood Network section of the Stake app and selecting a merchant offer.
You can earn Rewards by making an Eligible Transaction on a Linked Card at a participating merchant within the terms associated with the offer and in accordance with this Agreement. For the avoidance of doubt, Rewards will not be made available to you for an Eligible Transaction if your Linked Card is not linked at the time the transaction is made.
13.4 Service Provider Terms
In order to add a Linked Card, you must accept any terms and conditions presented by Fidel Ltd and Fidel API and the applicable Payment Card Networks. You agree that the Payment Card Network will not be liable to you or to any third party for any loss whatsoever resulting in connection with a Linked Card.
13.5 Lost Transactions
Neither Stake nor its service partners shall be responsible for communications, including reporting of Eligible Transactions and/or Eligible Transaction Rewards that are lost due to communication issues including change of address or other contact information or technical issues or malfunctions.
13.6 Information from Third Parties
You agree that Stake and its service providers may collect information about you from third parties. This information may include Transaction Data from third parties. See Transaction Data.
